Company Structure
CM Beyer Limited is a private company limited by shares, incorporated in England and Wales on 7 February 2025.
Articles of Association
CM Beyer operates under bespoke Articles of Association that were specifically drafted for the Company. The model articlesThe default articles of association provided by the government under the Companies (Model Articles) Regulations 2008. Most new companies use these, but CM Beyer chose to adopt custom articles with enhanced governance provisions. have been excluded entirely (Article 2.1), meaning every provision governing the Company has been deliberately chosen rather than inherited by default.

- A Director's Resolution framework (Article 6) that provides a formal, documented mechanism for all executive decisions — sequentially numbered, signed, and retained for a minimum of 10 years
- Share transfer restrictions (Article 14) with pre-emption rights giving existing shareholders first refusal on any proposed transfer

- Written resolutions as the primary method (Article 18) for shareholder decision-making, reducing administrative overhead

Decision-Making Framework
All material decisions are made through the Director's Resolution framework established in Article 6 of the Company's Articles of Association. This framework ensures that:

Anti-Bribery and Corruption
CM Beyer has zero tolerance for bribery and corruption. We comply with the Bribery Act 2010UK law that criminalises bribery in both the public and private sectors. It creates offences for offering, promising, or giving a bribe, and for requesting, agreeing to receive, or accepting a bribe. Organisations can also be liable for failing to prevent bribery by associated persons., which applies to all UK companies regardless of size.
Our policy prohibits:
- Offering, promising, or giving any bribe or improper payment to any person
- Requesting, agreeing to receive, or accepting any bribe or improper payment
- Making facilitation payments of any kind
- Making political donations in the name of the Company
All team members, contractors, and representatives are required to comply with this policy. Gifts and hospitality of nominal value (under £50) may be given or accepted in the ordinary course of business, provided they are not intended to influence a business decision and are reported to the Director.
