CM Beyer Limited has completed a restructuring of its share capital, effective 9 March 2026.

Resolution details

The sole member passed an ordinary resolution pursuant to section 288 of the Companies Act 2006 to redesignate the Company’s existing ordinary share from a nominal value of £1.00 to £100.00 per share. The resolution further authorised the allotment of 99 new ordinary shares of £100.00 each, fully paid up in cash, pursuant to section 550 of the Act and article 12.2 of the Company’s articles of association.

Pre-emption rights under sections 561–577 of the Act were waived by the sole member in respect of this allotment.

Resulting share capital

Following the restructuring, the Company’s issued share capital consists of 100 ordinary shares of £100.00 each, with a total nominal value of £10,000.00. All shares are held by Daniel Hunter as sole member.

Next steps

The return of allotment (form SH01) and notice of change in nominal value (form SH02) will be filed with Companies House within the statutory timeframes under sections 555 and 619 of the Companies Act 2006 respectively.
