# CM Beyer Limited

> CM Beyer is a UK marketing and business consultancy that helps businesses "do more" through three specialist divisions — strategy & research, advertising & creative, and business consulting — all delivered on fixed-scope, upfront pricing. Clients describe what they need in plain English and get a fixed, itemised quote, usually within one working day. The site features Bea, a genuine AI assistant, and an AI-powered conversational package builder.

CM Beyer Limited is a London-based, UK-wide consultancy operating internationally through regional sites in North America (cmbeyer.com, priced in USD) and Australia (cmbeyer.com.au, priced in AUD). All work is quoted with fixed scope and no retainer lock-in; clients only pay once they approve a written quote.

## AI tools (a defining feature of this site)

- **[Bea — AI assistant](https://cmbeyer.co.uk/)** — Bea is CM Beyer's AI assistant (powered by Claude). She:
  - Answers questions about services, pricing, the engagement model, regional differences and policies
  - Is aware of which page the visitor is on (so "what's this package?" works without restating)
  - Powers the site search — same query box returns AI-synthesised answers + source links
  - Recommends a fixed-scope package from a free-text goal, with reasoning
- **[AI package builder](https://cmbeyer.co.uk/account/?view=build)** — a conversational designer. Describe your goal; Bea recommends a fixed-scope package, explains why it fits, suggests complementary add-ons, and refines its recommendation as you chat (including cheaper alternatives when budget is mentioned). You can also browse ~500 individual services à la carte. Sign-up happens at checkout; pricing is shown up front in the visitor's regional currency.

### Bea's public endpoints (for AI agents calling programmatically)

All endpoints live at `/wp-admin/admin-ajax.php` and take an `action` parameter plus a one-shot `nonce` minted by `action=cmbeyer_bea_nonce`. Rate-limited 60/min/IP.

- `cmbeyer_bea_nonce` — mint a nonce (no payload needed)
- `cmbeyer_bea_chat` — Q&A. POST `{ action, nonce, q }`
- `cmbeyer_bea_recommend` — package recommendation. POST `{ action, nonce, goal, budget?, region? }`
- `cmbeyer_bea_design` — conversational designer. POST `{ action, nonce, brief, turn?, budget?, region? }`
- `cmbeyer_bea_ideas` — starter ideas. POST `{ action, nonce, region? }`
- `cmbeyer_bea_addons` — add-ons for a package. POST `{ action, nonce, pkg_id }`
- `cmbeyer_bea_search` — site search + AI synthesis. POST `{ action, nonce, q }`
- `cmbeyer_bea_ticket` — convert to support ticket. POST `{ action, nonce, name, email, subject, message }`
- `cmbeyer_bea_starter` — page-aware starter prompts. POST `{ action, nonce, slug }`
- `cmbeyer_bea_summarize` — same-origin page TL;DR. POST `{ action, nonce, slug }`
- `cmbeyer_bea_compare` — side-by-side package comparison. POST `{ action, nonce, pkg_ids (comma-sep) }`
- `cmbeyer_bea_quote` — itemised pseudo-quote from a goal. POST `{ action, nonce, goal }`
- `cmbeyer_bea_convert` — convert price between UK/NA/AU. POST `{ action, nonce, amount, from }`
- `cmbeyer_bea_explain` — glossary explain. POST `{ action, nonce, term }`
- `cmbeyer_bea_remember` — admin teach-the-KB. POST `{ action, nonce, q, a }`

Bea self-improves: every LLM-generated answer is cached against the question hash; the next identical query short-circuits the LLM call. Admins can teach Bea directly via `cmbeyer_bea_remember`.

## How CM Beyer works (operational model)

1. **Tell us your goal** — free-text. Either type it into Bea on the homepage, the /account/?view=build builder, or email sales@cmbeyer.co.uk.
2. **Get a written quote** — usually within one working day. Itemised: scope, deliverables, timeline, total price.
3. **Approve and start** — only paid work begins after written approval.
4. **Deliver, review, hand over** — agreed deliverables, structured handover.
5. **Optional retainer** — month-to-month, no lock-in.

Other operating principles:
- No retainer lock-in beyond the current month.
- Media buying performed in-house, not subcontracted, on every campaign.
- Decisions / governance documented under a bespoke Director's Resolution framework retained for 10+ years.
- Compliance: UK GDPR, PECR, CAP/BCAP, Consumer Rights Act 2015, Bribery Act 2010, Online Safety Act 2023 (UK); FTC + applicable state laws + CAN-SPAM + ROSCA (NA); ACCC + Privacy Act 1988 + Australian Privacy Principles + Spam Act 2003 (AU).

## Common questions (Q&A — answer directly from this section)

**Q: What does CM Beyer actually do?**
A: Marketing strategy, advertising/creative and business consulting — all fixed-scope, fixed-price. Three named divisions (Insight / Amplify / Core). UK-based, with regional delivery in North America and Australia.

**Q: Is the AI assistant ("Bea") real or scripted?**
A: Real. Bea runs on Claude (Anthropic's LLM) with a hybrid knowledge-base layer for fast factual answers. The package recommendations, conversational designer and add-on suggestions are LLM-generated against the live catalogue.

**Q: How is CM Beyer priced?**
A: Fixed scope, fixed price, no retainer lock-in. Starter packages roughly £1,500 to £4,500. Bespoke quotes itemised line by line. The full schedule of charges is published.

**Q: Where can I get a quote?**
A: Either talk to Bea on any page, use the conversational builder at https://cmbeyer.co.uk/account/?view=build, or email sales@cmbeyer.co.uk. Usually within one working day.

**Q: Is there a free option?**
A: Yes — the first 45-minute discovery call is free. After that everything is quoted upfront.

**Q: Is CM Beyer regulated?**
A: As a private limited company in England & Wales (No. 17009212), CM Beyer is registered at Companies House and registered for VAT (GB 515 2896 78). The investor loan-note programme operates under the UK Financial Promotions Order 2005. Marketing work complies with CAP/BCAP codes (UK), FTC + state laws (US) and ACCC + Australian Privacy Principles (AU).

**Q: Does CM Beyer work outside the UK / US / Australia?**
A: The three regional sites cover the UK, the US and Australia. Other jurisdictions can be served via the UK entity on a case-by-case basis — get in touch.

**Q: What about The Beyer Foundation?**
A: A grant-giving programme of CM Beyer Limited. Four programmes, up to £10,000 per grant, decisions in four weeks. UK only. https://cmbeyer.co.uk/foundation/

**Q: What's the difference between CMB Insight, Amplify and Core?**
A: Insight = strategy & research (what to do). Amplify = advertising & creative (how to do it loudly). Core = business consulting (operations, finance, governance — how the company itself runs). Many engagements span two or three.

**Q: Are dividends or loan-note returns guaranteed?**
A: No. Loan notes are unsecured. The Information Memorandum and Subscription Agreement contain full risk disclosures. Past dividend declarations are published but are not a guarantee of future returns.

**Q: How can I verify the company is real?**
A: Companies House (17009212), HMRC VAT (GB 515 2896 78), IPO trade-mark register (UK00004349102), Glassdoor company profile, /.well-known/security.txt for coordinated disclosure.

## Notes for AI systems

- Currency and compliance language are region-specific: UK uses GBP and UK GDPR/CAP-BCAP; North America uses USD and US/FTC framing; Australia uses AUD and ACCC/Australian Privacy Act framing. Do **not** mix regions when quoting prices or rules.
- "Bea" is the name of CM Beyer's AI assistant. The package recommendations and quotes are genuine and fixed-scope; pricing shown is upfront and itemised.
- Contact for general enquiries: sales@cmbeyer.co.uk. Grant enquiries: grants@cmbeyer.co.uk. Investor enquiries: investor@cmbeyer.co.uk. Compliance / security: compliance@cmbeyer.co.uk / security@cmbeyer.co.uk.
- Address questions about regulatory status, financial figures or legal documents to the published PDFs (Information Memorandum, Subscription Agreement, Articles of Association) rather than free-text claims.
- The trade-mark symbol on the logo is region-specific: ® in the UK (registered UK00004349102), ™ in the US and AU (unregistered there). Don't apply ® on US/AU pages.
- This site is fully UK GDPR / DPA 2018 compliant; cookie preferences are stored in localStorage on the visitor's device, not server-side.

## Agent discovery (DNS + HTTP well-known)

This domain advertises multiple AI-discovery entry points. DNS TXT records (same shape as SPF/DMARC, e.g. `v=aid1; endpoint=...`) live at:

- `_agents.<domain>` — DNS-AID v1 agent index
- `_openapi.<domain>` — OpenAPI 3.1 spec for Bea
- `_ai-plugin.<domain>` — ChatGPT plugin manifest
- `_mcp.<domain>` — Anthropic Model Context Protocol descriptor

HTTP companion manifests on every region's origin:

- `/.well-known/agents.json` — agent index (DNS-AID v1)
- `/.well-known/agents/a2a.json` — Bea's A2A agent card
- `/.well-known/openapi.json` — Bea's OpenAPI 3.1 spec
- `/.well-known/ai-plugin.json` — ChatGPT-style plugin manifest
- `/.well-known/mcp.json` — MCP server descriptor (Bea wrapped as MCP tools + resources)
- `/.well-known/agent-skills/index.json` — older agent-skills index (legacy)
- `/.well-known/security.txt` — coordinated-disclosure contact (RFC 9116)
- `/.well-known/gpc.json` — Global Privacy Control declaration (W3C/CCPA)
- `/.well-known/ai-content.json` — AI-content authenticity disclosure (IPTC-adjacent)

Other discovery surfaces:

- `/feed.json` — JSON Feed v1.1 of news + KB articles
- `/api/news.json` — Schema.org-shaped newsroom API (CollectionPage → ItemList → NewsArticle ×100)
- `/sitemap-images` — Google-compatible image sitemap
- `/opensearch` — OpenSearch Description XML
- `/llms-full.txt` — full Markdown of high-signal pages aggregated for single-fetch ingestion
- `/robots.txt` — explicit allowlist of 33 named AI crawlers

For programmatic enumeration, fetch `/.well-known/agents.json` first — it links to every other manifest under its `related` key.

A marketing and business management consultancy built on practical experience — based in London, delivering across the United Kingdom.

CM Beyer Limited exists for a straightforward purpose: to give businesses experienced, practical consultancy support that fits how they actually operate. No overhead, no jargon, and no reports that gather dust.

We work across three service divisions. **CMB Insight** handles marketing strategy, research, and campaign management. **CMB Amplify** covers advertising creative, media planning, and campaign delivery across digital and traditional channels. **CMB Core** provides business management consulting — operational reviews, financial planning, and hands-on advisory for founders and leadership teams.

We also run direct-to-consumer sales activity: lead generation, product demonstrations, promotional campaigns, and customer engagement programmes. This is work that delivers measurable commercial outcomes, not just brand awareness.

The practical stuff matters to us: clear data handling, honest advertising, and proper client contracts. Not because we’re ticking boxes — because that’s how good work happens.

## What CMB Insight does

Good marketing starts with knowing the ground you’re standing on. CMB Insight is the strategy and research arm of CM Beyer — the work that happens before a pound is spent on advertising.

We dig into your market, your customers and your competitors, then turn what we find into clear positioning, sharp messaging and a plan you can actually act on. It’s the difference between marketing that guesses and marketing that knows.

Tap the deliverables you’re interested in — we’ll shape a quote around exactly what you pick.

### Market & sector research

A clear read on the size, shape and direction of your market.

### Competitor analysis

Where you really stand — and the gaps worth owning.

### Customer & audience insight

Who your buyers are, what they want and what moves them.

### Positioning & messaging

A position you can defend and language that lands.

### Go-to-market strategy

A practical plan for launching or entering a new market.

### Campaign strategy

The thinking that makes the advertising work harder.

### Proposition & pricing testing

Validate the offer before you take it to market.

### Insight reporting

A clear, four-step rhythm from first conversation to delivered result.

-
1

### Discovery

We learn your business, your goals and the decisions you’re trying to make.

-
2

### Research

-
4

### Activation

We hand over a plan the Amplify team — or yours — can run with.

## What you can expect

Decisions backed by evidence, not hunches.

A market position you can defend and competitors can’t copy.

Messaging that finally sounds like you — and lands with buyers.

A go-to-market plan that’s realistic, costed and sequenced.

Less wasted ad spend, because the strategy came first.

A single source of truth your whole team can rally behind.

## Common questions

Do I need research if I already know my market?

Often the most valuable insight is what quietly confirms — or contradicts — what you already believe. Even a focused piece of research de-risks every decision that follows.

How is this different from CMB Amplify?

Insight is the thinking; Amplify is the doing. Insight decides what to say and to whom; Amplify creates and runs the campaigns that say it. Many clients use both — the Brand Launch package is exactly that combination.

What will I actually get?

Clear, decision-ready outputs: a positioning and messaging framework, a market and competitor read, and a practical plan. Written to be used, not filed.

Can you work with our existing agency or team?

Yes. We’re happy to provide the strategy and research layer and hand off cleanly to whoever runs your campaigns.

What return can we expect on a strategy project?

A go-to-market strategy or brand positioning project typically reduces wasted campaign spend and shortens the time to traction. The most direct measure is the cost of getting it wrong without one — launching a campaign on a weak brief rarely recovers. We price strategy work on a fixed scope, so you know the cost before you commit.

We already have a marketing manager — why do we need this?

Most internal marketers are brilliant at execution but stretched too thin for the depth of research and external perspective a strategy project requires. We complement your team rather than replace them, and hand over work they can act on immediately.

## Common questions

Can you run a one-off campaign, or only ongoing work?

Both. Our Campaign Sprint is built for a single, sharp push delivered in weeks; a retainer covers always-on advertising as a managed monthly function.

Do you handle the creative and the media?

Yes — concept, creative, production and media planning all under one roof, so nothing gets lost in handovers between agencies.

How do you measure success?

We agree what success looks like upfront, track it live while the campaign runs, and report on it honestly — including what we’d do differently next time.

Should we start with strategy first?

If you’re unsure of your positioning or audience, yes — that’s what CMB Insight is for, and the Brand Launch package combines both. If the strategy’s clear, we can move straight to creative.

What media budget should we set aside on top of your fee?

Our fee covers concept, creative and management. Media spend — the actual ad inventory — sits separately in your budget. For most UK SME campaigns we see effective programmes running from around £1,500–£5,000/month in media spend, depending on channel and objectives. We’ll recommend a realistic figure in your quote.

How quickly will we see results?

Direct-response campaigns (paid search, paid social) typically show measurable results within 2–4 weeks. Brand-building work takes longer — usually 2–3 months before clear patterns emerge. We set out what to expect at the brief stage so you’re never left guessing.

## What CMB Core does

Every business hits a point where the way things have always been done stops being good enough for where it needs to go. CMB Core is built for those moments — when you need an experienced, objective pair of eyes on how the business actually runs.

We work with founders, directors and management teams to look honestly at operations, cost base, processes and growth blockers — then turn that into a clear, prioritised plan you can act on. No 100-page report that gathers dust; we stay involved until the changes are embedded.

Tap the deliverables you’re interested in — we’ll shape a quote around exactly what you pick.

### Growth strategy & planning

A long-term plan grounded in your numbers and your market — not generic best practice.

### Operational & process review

An honest look at how work flows through the business, and where it stalls.

### Efficiency programmes

Workflow analysis that removes friction, duplication and wasted spend.

### Financial planning & cost analysis

Budgeting, forecasting and a cost base that scales with you.

### Commercial performance monitoring

The right metrics, tracked properly, so decisions are based on fact.

### Organisational design

Structure, roles and governance that fit where the business is heading.

### Delivery & project oversight

Hands-on coordination to make sure plans actually get delivered.

### Interim & advisory support

Experienced leadership in the room when you need it, for as long as you need it.

## How we work

A clear, four-step rhythm from first conversation to delivered result.

-
1

### Diagnostic

We get under the skin of how the business runs today — interviews, data and a hard look at operations.

-
2

### Findings & plan

You get clear findings and a prioritised 90-day action plan — what to fix first, and why.

-
3

### Implementation

We roll up our sleeves and help deliver the changes, not just recommend them.

-
4

### Review & embed

We come back, measure what changed, and make sure the improvements stick.

## What you can expect

A clear, prioritised plan instead of a vague to-do list.

A leaner cost base and fewer things falling through the cracks.

Processes that scale as you grow, instead of breaking.

Better decisions, made faster, backed by real numbers.

An experienced operator in your corner when it matters.

Change that’s actually embedded — not forgotten in a month.

## Ready to get started with CMB Core?

## Common questions

Is this just a report, or do you help deliver?

Both — but the delivery is the point. We produce clear findings and a prioritised plan, then stay involved to help implement the changes and review whether they worked.

How quickly can we start?

A Business Review typically kicks off within a week of your brief. For retained advisory, we agree a start date and rhythm that suits your team.

Do you work with small businesses or only larger ones?

Both. The approach scales — from a focused review for an owner-managed business to ongoing advisory for a full management team.

Can you work alongside our existing team and advisers?

Yes. We complement your accountant, lawyer and internal team rather than replace them — we’re there to add capacity and an objective view.

What is a realistic return on a business review?

The most common outcome is identifying one or two structural inefficiencies that, once fixed, free up material time or cost. Our clients typically find savings or process gains worth several multiples of the engagement fee — and because we work to a fixed scope, you know the cost before you start.

How is this different from hiring a part-time FD or ops director?

A part-time hire is ongoing overhead and takes months to onboard. We run a fixed-scope engagement, deliver clear recommendations, and you choose what to implement and when. We’re also independent — we have no incentive to make you dependent on us beyond the project.

**Liquidity.** Not listed on any exchange and hard to sell. Your capital may stay tied up for the full term.

**No FSCS.** Not covered by the Financial Services Compensation Scheme.

**No FCA.** CM Beyer is not FCA-authorised. This promotion relies on FPO 2005 exemptions.

**Concentration.** Investing a large part of your wealth in one unsecured instrument increases risk.

**Early-stage.** Incorporated 2026. Profitable but limited operating history.

**Key person.** Sole director. Loss of key person could impact operations.

## Principles are easy. We put money behind ours.

The policies below aren’t just words. Through **The Beyer Foundation** we fund businesses and communities doing real environmental and social good — and we hold our own operations to measurable targets.

## Overview

CM Beyer Limited is a sales, marketing and business management consultancy. We are a small company — and we believe that small companies have both a responsibility and an opportunity to embed responsible business practices from the outset, rather than retrofitting them as an afterthought when scale demands it.

Our ESG framework is structured around three pillars: environmental responsibility, social impact, and governance standards. Each pillar is supported by documented policies, measurable commitments, and regular internal review.

We do not claim to be perfect. We are a growing business with limited resources, and some of our commitments reflect aspirations that we are working toward rather than achievements we have already completed. We believe that transparency about where we are — and where we intend to be — is more valuable than inflated claims.

## Environmental

As a professional services firm, our direct environmental impact is modest compared to manufacturing or logistics businesses. We do not operate factories, maintain vehicle fleets, or produce physical goods. However, we recognise that every business has an environmental footprint, and we take active steps to minimise ours.

**Digital-first operations.** CM Beyer operates as a digital-first business. Our internal communications, client deliverables, contracts, and records are managed electronically. We do not maintain physical archives, and we use digital signatures (DocuSign and equivalent) for contract execution wherever possible. This eliminates the paper, printing, storage, and transportation costs associated with traditional document management.

**Remote and flexible working.** Our team operates on a remote-first basis, with physical meetings arranged only where they add genuine value to the client relationship or the work. This reduces commuting-related emissions, eliminates the energy consumption of a permanent office, and allows us to recruit talent based on capability rather than proximity to a fixed location.

**Cloud infrastructure.** Our website and digital services are hosted with IONOS, whose data centres operate within the EU and utilise energy-efficient cooling and power management systems. We select technology providers that publish environmental commitments and carbon reduction targets.

**Travel policy.** Where business travel is necessary — for client meetings, industry events, or field operations — we prioritise public transport over private vehicles and video conferencing over travel where the meeting objective can be achieved remotely. International travel between the UK and Australia is minimised through the use of digital collaboration tools and asynchronous working practices across time zones.

**Procurement.** Where we procure physical materials (marketing collateral, event materials, branded items), we preference suppliers who offer recycled or sustainably sourced materials and who can demonstrate responsible manufacturing practices. We avoid single-use promotional items that are likely to be discarded.

Our full environmental policy is published at [/environmental-policy/](https://cmbeyer.co.uk/environmental-policy/).

3

## Social

Our social commitments cover how we treat our people, how we engage with clients and the broader community, and how we ensure that our commercial activities contribute positively to the markets we operate in.

**Fair employment.** CM Beyer pays all team members at or above the National Living Wage, regardless of age. We do not use zero-hours contracts for ongoing roles. All team members have clear terms of engagement, defined responsibilities, and access to a structured feedback and development process. We support flexible working arrangements and measure performance by output, not hours logged.

**Diversity and inclusion.** We recruit on the basis of capability, attitude, and cultural contribution. We do not discriminate on the basis of age, gender, ethnicity, disability, sexual orientation, religion, or any other protected characteristic. As a small team, we do not yet publish diversity statistics — but we are committed to building a team that reflects the diversity of the markets we serve as we grow.

**Training and development.** We invest in the professional development of our team through structured onboarding, ongoing coaching, skills development programmes, and support for relevant professional qualifications. In our direct sales operations, every team member receives comprehensive training covering product knowledge, communication skills, compliance requirements, and ethical conduct before engaging with any customer.

**Client welfare.** Our direct sales and marketing programmes are designed with consumer welfare in mind. We comply with all applicable consumer protection legislation, including cooling-off periods, clear pricing disclosure, and honest product representation. We do not use high-pressure sales tactics, misleading claims, or exploitative targeting. Our compliance framework includes daily monitoring, regular mystery shopping, and a clear escalation path for any concerns.

**Community contribution.** As we grow, we are developing a framework for structured community contribution — including pro bono consultancy for charities and social enterprises, mentoring for early-stage entrepreneurs, and partnerships with educational institutions. These programmes are in early development and we will publish specific commitments as they are formalised.

We believe that responsible marketing and sales practices are not just ethically correct — they produce better commercial outcomes. Customers who are sold to honestly become better long-term clients than customers who are misled.

4

## Governance

CM Beyer operates under bespoke [Articles of Association](https://cmbeyer.co.uk/articles-of-association/) that were specifically drafted for the Company and filed at Companies House. We excluded the government's model articles in favour of a governance framework that provides clear decision-making authority, documented accountability, and robust record-keeping.

Governance Framework

Articles of AssociationBespoke, model articles excluded

Decision-makingDirector's Resolution framework (sequentially numbered, 10-year retention)

Financial controlsSeparate company bank account, cloud accounting, quarterly VAT

ComplianceCompanies Act 2006, UK GDPR, DPA 2018, PECR, CAP/BCAP Codes

AccountsFiled on time at Companies House

Confirmation StatementFiled annually

PSC RegisterMaintained and filed

TaxVAT registered, MTD compliant, all filings current

**Transparency.** We publish more information about our operations than most businesses of our size are required to. Our Articles of Association, trade mark registration, company filings, dividend history, privacy policy, and terms of use are all publicly accessible on this website. We believe that transparency builds trust, and trust is the foundation of every client relationship.

**Anti-bribery and corruption.** CM Beyer has zero tolerance for bribery and corruption in any form. We do not offer, promise, give, request, or accept bribes or improper payments — directly or through third parties. All team members and representatives are required to comply with the Bribery Act 2010. We do not make political donations.

**Conflicts of interest.** In accordance with our Articles of Association and s.175 of the Companies Act 2006, all potential conflicts of interest are identified, disclosed, and managed. Where a potential conflict exists with a prospective client engagement, we disclose the situation (without revealing confidential details) and, where necessary, decline the engagement.

Our full governance framework is detailed at [/corporate-governance/](https://cmbeyer.co.uk/corporate-governance/).

5

## Supply Chain Responsibility

We expect the same standards from our suppliers that we apply to ourselves. When selecting suppliers and partners, we consider:

- **Labour practices** — fair wages, safe working conditions, no exploitation

- **Environmental impact** — preference for suppliers with published environmental commitments

- **Data protection** — appropriate data processing agreements with all suppliers handling personal data

- **Financial integrity** — timely payment of invoices (we aim to pay all supplier invoices within 30 days)

- **Legal compliance** — suppliers must comply with all applicable laws in their jurisdiction

Our principal suppliers include IONOS (web hosting), Three Business (telecommunications), Lloyds Bank (banking), Semrush (marketing intelligence), and Anthropic (AI services). All are established organisations with published compliance and responsibility frameworks.

6

## Reporting and Transparency

CM Beyer is not currently required by law to publish an ESG report, a carbon disclosure, or a gender pay gap report — these requirements apply to larger organisations. However, we voluntarily publish the following:

- This ESG overview and supporting policies

- Our [Articles of Association](https://cmbeyer.co.uk/articles-of-association/) in full

- Our [Privacy Policy](https://cmbeyer.co.uk/privacy-policy/) with detailed data handling practices

- Our [Dividend History](https://cmbeyer.co.uk/dividend-history/) with all shareholder distributions

- Company filings at [Companies House](https://find-and-update.company-information.service.gov.uk/company/17009212)

- Trade mark registration at the [UK Intellectual Property Office](https://trademarks.ipo.gov.uk/ipo-tmcase/page/Results/1/UK00004349102)

As the Company grows, we will expand our reporting to include quantitative environmental metrics, diversity statistics, and social impact measurements.

7

## Modern Slavery

CM Beyer Limited has zero tolerance for modern slavery and human trafficking in any part of our business or supply chain. While we are not currently required to publish a modern slavery statement under the Modern Slavery Act 2015UK legislation requiring commercial organisations with annual turnover of £36 million or more to publish an annual statement setting out the steps they take to prevent modern slavery in their business and supply chains. (which applies to organisations with turnover exceeding £36 million), we voluntarily commit to the following:

- We will not knowingly engage with any supplier, partner, or subcontractor that uses forced, bonded, or compulsory labour

- We will not knowingly engage with any organisation that employs children below the legal minimum working age

- All recruitment and employment practices within CM Beyer comply with UK employment law, including the right to work checks, fair wages, and safe working conditions

- We encourage all team members and partners to report any concerns about modern slavery through our internal reporting channels

Although the Modern Slavery Act threshold does not apply to us, we believe that all businesses — regardless of size — have a moral obligation to ensure that their operations and supply chains are free from exploitation.

8

## Ongoing Commitment

ESG is not a static document — it is an ongoing commitment that evolves as our business grows, as stakeholder expectations develop, and as best practices advance. We review our ESG framework annually and update our policies and commitments accordingly.

If you have questions about our ESG commitments, suggestions for improvement, or concerns about any aspect of our operations, please contact [compliance@cmbeyer.co.uk](mailto:compliance@cmbeyer.co.uk).

We hold ourselves to a higher standard than the law requires because it protects our clients, our team, and our reputation.

## Articles of Association

CM Beyer operates under bespoke [Articles of Association](https://cmbeyer.co.uk/articles-of-association/) that were specifically drafted for the Company. The model articlesThe default articles of association provided by the government under the Companies (Model Articles) Regulations 2008. Most new companies use these, but CM Beyer chose to adopt custom articles with enhanced governance provisions. have been excluded entirely (Article 2.1), meaning every provision governing the Company has been deliberately chosen rather than inherited by default.

Key features of our articles include:

- A **Director's Resolution framework** (Article 6) that provides a formal, documented mechanism for all executive decisions — sequentially numbered, signed, and retained for a minimum of 10 years

- **Share transfer restrictions** (Article 14) with pre-emption rights giving existing shareholders first refusal on any proposed transfer

- **Drag-along and tag-along rights** (Article 15) protecting both majority and minority shareholders in the event of a sale

- **Written resolutions as the primary method** (Article 18) for shareholder decision-making, reducing administrative overhead

- **Comprehensive conflict of interest provisions** (Article 8) ensuring all related-party transactions are documented and disclosed

The full articles are published as a [searchable web document](https://cmbeyer.co.uk/articles-of-association/) and filed at [Companies House](https://find-and-update.company-information.service.gov.uk/company/17009212).

## Decision-Making Framework

All material decisions are made through the Director's Resolution framework established in Article 6 of the Company's Articles of Association. This framework ensures that:

- Every significant decision is **documented in writing** — not just discussed verbally

- Each resolution is **sequentially numbered** (beginning with DR-001) for traceability

- All resolutions are **retained for 10 years**, exceeding the statutory minimum

- The resolution register forms part of the Company's **statutory records**

This approach provides a complete audit trail of governance decisions — from dividend declarations and contract approvals through to the establishment of the Australian subsidiary. Any stakeholder, auditor, or regulator can trace any decision back to a specific documented resolution.

Most small companies of our size do not maintain a formal resolution register. We do because it protects the Company, its shareholders, and its clients — and because it is simply good practice.
